These Terms and Conditions ("Terms") govern your access to and use of the BitVoy cryptocurrency wallet service (the "Service") operated by the service providers listed in Section 19 ("we", "us", "our", or "the Company"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using BitVoy, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. You further represent that you are not located in, or a citizen or resident of, any jurisdiction where the use of cryptocurrency wallets is prohibited by law.

2. Account Registration and Security

  • You are required to register an account to use the Service. Registration may be completed using passkey-based (FIDO2/WebAuthn) authentication or through a supported OpenID Connect (OIDC) provider.
  • You are solely responsible for maintaining the security of your authentication credentials, including your passkeys and any devices used to access your account.
  • You must promptly notify us if you suspect any unauthorized access to your account.
  • We are not liable for any loss or damage arising from your failure to secure your account credentials.

3. Description of the Service

BitVoy provides a non-custodial cryptocurrency wallet service that enables you to:

  • Create and manage cryptocurrency wallet addresses on supported blockchain networks (including Avalanche C-Chain).
  • Send, receive, and store supported digital assets.
  • Interact with decentralized applications (dApps) and third-party services.

BitVoy uses multi-party computation (MPC) technology for key management. Your private keys are never held in full by any single party. Portions of your key material are stored locally on your device in encrypted form using browser storage (IndexedDB and session storage).

4. Non-Custodial Nature

BitVoy is a non-custodial wallet. We do not hold, control, or have access to your digital assets. You retain full ownership and control of your funds at all times. We cannot freeze, reverse, or recover transactions on your behalf.

You are solely responsible for safeguarding access to your wallet. If you lose access to your authentication credentials or device and no recovery method is available, your funds may become permanently inaccessible.

When using BitVoy's payment service, funds are transferred directly from your wallet to the merchant's registered wallet address. BitVoy does not relay or hold your funds at any point during a payment transaction.

When you approve a payment, you electronically sign the following specific transfer details:

  • Amount to merchant: 99% of the total payment amount.
  • BitVoy system usage fee: 1% of the total payment amount.

The transfer details (amounts, recipients, and fee) are fixed at the moment you sign and cannot be altered by BitVoy thereafter. This constraint is technically enforced by the smart contract.

5. Blockchain Transactions

  • All transactions submitted through the Service are processed on public blockchain networks and are irreversible once confirmed.
  • You are responsible for verifying all transaction details (recipient address, amount, network fees) before confirming a transaction.
  • We are not responsible for any loss resulting from incorrect transaction details, network congestion, or blockchain protocol failures.
  • Network fees (gas fees) are determined by the blockchain network and are not set or controlled by us.
  • If a refund is required, the merchant will return funds directly to your wallet address. BitVoy monitors the on-chain confirmation of refund transactions but does not hold or relay refund funds.

6. System Usage Fee

For payment transactions processed through the BitVoy payment service, a system usage fee of 1% of the transaction amount (rounded down to the nearest unit) applies. This fee is included in the transfer details you sign at the time of payment approval and is technically fixed by the smart contract—BitVoy cannot alter the fee rate or recipient after your signature. The system usage fee is charged as consideration solely for your use of the payment infrastructure (smart contract, relayer, and signing system) and does not constitute custody, pooling, or intermediation of funds in any form.

Network fees (gas fees) charged by the underlying blockchain are separate from and in addition to BitVoy's system usage fee. In certain payment modes, BitVoy may advance gas fees on your behalf under separately defined conditions.

We reserve the right to modify the system usage fee rate. Any changes will be made in accordance with the amendment procedures set out in these Terms and communicated with prior notice.

7. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Engage in money laundering, terrorist financing, or any other financial crime.
  • Transmit or facilitate the transmission of funds derived from illegal activities.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service in any jurisdiction where doing so would be unlawful.
  • Circumvent or attempt to circumvent any security measures implemented by us.

8. Third-Party Services

The Service may integrate with or provide access to third-party services, including OIDC authentication providers, blockchain networks, decentralized applications, and payment processing services. We do not control, endorse, or assume responsibility for any third-party services. Your use of such services is subject to their respective terms and policies.

9. Intellectual Property

All content, trademarks, logos, software, and other intellectual property associated with the Service are owned by or licensed to the Company. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from using the Service will be accurate or reliable.
  • Any defects in the Service will be corrected.
  • The value of any digital asset will remain stable or increase.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAY BRIDGE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, DIGITAL ASSETS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN FEES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law or rights of a third party.

13. Risk Acknowledgment

By using the Service, you acknowledge and accept the following risks:

  • Cryptocurrency markets are highly volatile. The value of digital assets can fluctuate significantly and may result in substantial losses.
  • Blockchain technology and smart contracts may contain vulnerabilities or bugs that could result in loss of funds.
  • Regulatory changes in any jurisdiction may adversely affect the use, transfer, or value of digital assets.
  • Loss of access to your authentication credentials or device may result in permanent loss of your digital assets.
  • Transactions on public blockchains are irreversible and cannot be undone.

14. Suspension and Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to violation of these Terms or applicable law. Upon termination, your right to use the Service will cease immediately. As the Service is non-custodial, you will retain access to your digital assets on the blockchain through alternative means, provided you have the necessary key material.

15. Changes to These Terms

We may modify these Terms at any time by posting the revised Terms on this page with an updated effective date. We will make reasonable efforts to notify you of material changes. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Tokyo, Japan.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Service and supersede all prior agreements and understandings.

19. Service Providers

BitVoy services are provided and operated by the following entities, depending on your location:

  • Merchants located in Japan: Bay Bridge Inc. (Japanese corporation)
  • Merchants located outside Japan: Planet Technology International (Hong Kong) Co., Limited

本利用規約（以下「本規約」といいます。）は、第19条に定めるサービス提供主体（以下「当社」といいます。）が運営する暗号資産ウォレットサービス「BitVoy」（以下「本サービス」といいます。）へのアクセスおよび利用を規定するものです。アカウントを作成または本サービスを利用することにより、本規約に拘束されることに同意したものとみなします。同意しない場合は、本サービスを利用することはできません。

第1条（利用資格）

本サービスを利用するには、18歳以上であることが必要です。BitVoyを利用することにより、この要件を満たしており、本規約を締結する法的能力を有することを表明および保証するものとします。また、暗号資産ウォレットの利用が法令により禁止されている管轄区域に所在せず、当該管轄区域の市民または居住者でないことを表明するものとします。

第2条（アカウント登録およびセキュリティ）

  • 本サービスを利用するためにはアカウント登録が必要です。登録は、パスキー（FIDO2/WebAuthn）認証またはサポートされているOpenID Connect（OIDC）プロバイダーを通じて行うことができます。
  • パスキーおよびアカウントへのアクセスに使用するデバイスを含む、認証情報のセキュリティ維持はお客様自身の責任となります。
  • アカウントへの不正アクセスが疑われる場合は、直ちに当社に通知してください。
  • 認証情報のセキュリティ管理を怠ったことにより生じた損失または損害について、当社は責任を負いません。

第3条（サービスの概要）

BitVoyは、以下の機能を提供する非カストディアル型暗号資産ウォレットサービスです。

  • サポートされているブロックチェーンネットワーク（Avalanche C-Chainを含む）上での暗号資産ウォレットアドレスの作成および管理。
  • サポートされているデジタル資産の送受信および保管。
  • 分散型アプリケーション（dApps）および第三者サービスとのインタラクション。

BitVoyは鍵管理にマルチパーティ計算（MPC）技術を採用しています。秘密鍵は単一の当事者が完全な形で保有することはありません。鍵マテリアルの一部は、ブラウザストレージ（IndexedDBおよびセッションストレージ）を使用して暗号化された状態でお客様のデバイスにローカル保存されます。

第4条（非カストディアルの性質）

BitVoyは非カストディアル型ウォレットです。当社はお客様のデジタル資産を保有、管理、またはアクセスすることはありません。お客様は常に資金の完全な所有権と管理権を保持します。当社はお客様に代わってトランザクションを凍結、取り消し、または回復することはできません。

ウォレットへのアクセスを守ることはお客様自身の責任です。認証情報やデバイスへのアクセスを失い、回復手段がない場合、資金に永久にアクセスできなくなる可能性があります。

BitVoyの決済サービスを利用する場合、資金はお客様のウォレットから加盟店の登録ウォレットアドレスへ直接送金されます。BitVoyは決済トランザクション中にお客様の資金を中継または保有することはありません。

支払いを承認する際、お客様は以下の具体的な送金詳細に電子署名します。

  • 加盟店への送金額：総決済金額の99%。
  • BitVoyシステム利用料：総決済金額の1%。

送金詳細（金額、受取人、手数料）はお客様が署名した時点で確定され、その後BitVoyが変更することはできません。この制約はスマートコントラクトによって技術的に強制されています。

第5条（ブロックチェーントランザクション）

  • 本サービスを通じて送信されたすべてのトランザクションはパブリックブロックチェーンネットワーク上で処理され、確認後は取り消しができません。
  • トランザクションを確認する前に、すべての詳細（受取先アドレス、金額、ネットワーク手数料）を確認する責任はお客様にあります。
  • 誤ったトランザクション詳細、ネットワークの混雑、またはブロックチェーンプロトコルの障害により生じた損失について、当社は責任を負いません。
  • ネットワーク手数料（ガス代）はブロックチェーンネットワークによって決定されるものであり、当社が設定または管理するものではありません。
  • 返金が必要な場合、加盟店がお客様のウォレットアドレスへ直接資金を返送します。BitVoyは返金トランザクションのオンチェーン確認を監視しますが、返金資金を保有または中継することはありません。

第6条（システム利用料）

BitVoy決済サービスを通じて処理される決済トランザクションには、取引金額の1%（端数切り捨て）のシステム利用料が適用されます。この利用料は、お客様が決済承認時に署名する送金詳細に含まれており、スマートコントラクトによって技術的に確定されます。お客様の署名後に当社が利用料率や受取先を変更することはできません。システム利用料は、決済インフラ（スマートコントラクト・リレイヤー・署名システム）の利用に対する対価として徴収されるものであり、いかなる形においても資金の受託・プール・仲介には該当しません。

基盤となるブロックチェーンが徴収するネットワーク手数料（ガス代）は、BitVoyのシステム利用料とは別途発生します。特定の決済モードでは、BitVoyが別途定める条件の下でお客様に代わってガス代を立て替える場合があります。

当社はシステム利用料率を変更する権利を留保します。変更は本規約に定める改定手続きに従って行われ、事前に通知されます。

第7条（禁止事項）

お客様は、本サービスを以下の目的で利用しないものとします。

  • 適用される法令、規制、または第三者の権利に違反する行為。
  • マネーロンダリング、テロ資金供与、またはその他の金融犯罪への関与。
  • 違法な活動から得た資金の送金または送金の促進。
  • 本サービス、他のユーザーのアカウント、または当社のシステムへの不正アクセスの試み。
  • 本サービスの完全性またはパフォーマンスの妨害または破壊。
  • 当該行為が違法となる管轄区域での本サービスの利用。
  • 当社が実装したセキュリティ対策の回避またはその試み。

第8条（第三者サービス）

本サービスは、OIDC認証プロバイダー、ブロックチェーンネットワーク、分散型アプリケーション、決済処理サービスを含む第三者サービスと統合または連携する場合があります。当社はいかなる第三者サービスも管理、推奨、または責任を負いません。当該サービスの利用はそれぞれの利用規約およびポリシーに従うものとします。

第9条（知的財産権）

本サービスに関連するすべてのコンテンツ、商標、ロゴ、ソフトウェア、およびその他の知的財産は、当社が所有するか当社にライセンスされています。お客様には、本規約に従って個人的・非商業的目的で本サービスを利用するための限定的・非独占的・譲渡不可のライセンスが付与されます。当社の事前書面による同意なく、本サービスに基づく複製、改変、配布、または二次的著作物の作成を行うことはできません。

第10条（保証の否認）

本サービスは、商品性、特定目的適合性、および非侵害の黙示的保証を含むがこれに限られない、いかなる種類の明示的または黙示的保証もなく、「現状有姿」かつ「利用可能な状態」で提供されます。

当社は以下について保証しません。

  • 本サービスが中断なく、適時に、安全に、またはエラーなく提供されること。
  • 本サービスの利用から得られる結果が正確または信頼できること。
  • 本サービスの欠陥が修正されること。
  • デジタル資産の価値が安定または上昇すること。

第11条（責任の制限）

適用される法律が許容する最大限の範囲において、ベイブリッジ株式会社およびその役員、取締役、従業員、代理人は、本サービスの利用または利用不能に起因または関連する、利益、データ、デジタル資産、または信用の損失を含むがこれらに限定されない、間接的、付随的、特別、結果的、または懲罰的損害について責任を負いません。

いかなる場合も、本サービスに起因または関連するすべての請求に対する当社の総責任は、責任が生じた事象の前12ヶ月間にお客様が当社に支払った手数料の総額を超えないものとします。

第12条（補償）

お客様は、本サービスの利用、本規約の違反、または適用法令もしくは第三者の権利の違反に起因または関連して生じる請求、責任、損害、損失、費用（合理的な弁護士費用を含む）について、当社およびその役員、取締役、従業員、代理人を補償し、防御し、免責することに同意するものとします。

第13条（リスクの承認）

本サービスを利用することにより、お客様は以下のリスクを認識し、受け入れるものとします。

  • 暗号資産市場は非常に変動性が高く、デジタル資産の価値は大幅に変動し、多大な損失をもたらす可能性があります。
  • ブロックチェーン技術およびスマートコントラクトには、資金の損失につながる脆弱性やバグが含まれている可能性があります。
  • いかなる管轄区域における規制の変更も、デジタル資産の利用、移転、または価値に悪影響を与える可能性があります。
  • 認証情報またはデバイスへのアクセスを失った場合、デジタル資産が永久に失われる可能性があります。
  • パブリックブロックチェーン上のトランザクションは不可逆であり、取り消すことができません。

第14条（一時停止および解約）

当社は、本規約または適用法令の違反を含む理由を問わず、いつでも予告なくお客様の本サービスへのアクセスを一時停止または終了する権利を留保します。解約後、お客様が本サービスを利用する権利は直ちに消滅します。本サービスは非カストディアル型であるため、必要な鍵マテリアルを保有している限り、お客様はブロックチェーン上のデジタル資産に代替手段でアクセスし続けることができます。

第15条（本規約の変更）

当社は、改定された規約を更新された施行日とともに本ページに掲載することにより、いつでも本規約を変更することができます。重要な変更についてはお客様に合理的な方法で通知するよう努めます。変更の施行日以降に本サービスを継続して利用することは、更新された規約への同意を構成します。

第16条（準拠法および紛争解決）

本規約は、抵触法の規定にかかわらず、日本の法律に従って解釈されます。本規約に起因または関連する紛争は、東京（日本）の裁判所の専属管轄に服するものとします。

第17条（分離可能性）

本規約のいずれかの条項が無効または強制不能と判断された場合、残りの条項は引き続き完全な効力を有します。無効または強制不能な条項は、有効かつ強制可能にするために必要最小限の範囲で修正されるものとします。

第18条（完全合意）

本規約は、当社のプライバシーポリシーとともに、本サービスの利用に関するお客様と当社との間の完全な合意を構成し、以前のすべての合意および了解に優先します。

第19条（サービス提供主体）

BitVoyのサービスは、お客様の所在地に応じて以下の事業者が提供および運営します。

  • 日本国内に所在する加盟店：ベイブリッジ株式会社（日本法人 / Bay Bridge Inc.）
  • 日本国外に所在する加盟店：Planet Technology International (Hong Kong) Co., Limited（香港法人）
