These Terms and Conditions ("Terms") govern your access to and use of the BitVoy cryptocurrency wallet service (the "Service") operated by Bay Bridge Inc. ("we", "us", "our", or "the Company"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Eligibility
You must be at least 18 years of age to use the Service. By using BitVoy, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. You further represent that you are not located in, or a citizen or resident of, any jurisdiction where the use of cryptocurrency wallets is prohibited by law.
2. Account Registration and Security
- You are required to register an account to use the Service. Registration may be completed using passkey-based (FIDO2/WebAuthn) authentication or through a supported OpenID Connect (OIDC) provider.
- You are solely responsible for maintaining the security of your authentication credentials, including your passkeys and any devices used to access your account.
- You must promptly notify us if you suspect any unauthorized access to your account.
- We are not liable for any loss or damage arising from your failure to secure your account credentials.
3. Description of the Service
BitVoy provides a non-custodial cryptocurrency wallet service that enables you to:
- Create and manage cryptocurrency wallet addresses on supported blockchain networks (including Avalanche C-Chain).
- Send, receive, and store supported digital assets.
- Interact with decentralized applications (dApps) and third-party services.
BitVoy uses multi-party computation (MPC) technology for key management. Your private keys are never held in full by any single party. Portions of your key material are stored locally on your device in encrypted form using browser storage (IndexedDB and session storage).
4. Non-Custodial Nature
BitVoy is a non-custodial wallet. We do not hold, control, or have access to your digital assets. You retain full ownership and control of your funds at all times. We cannot freeze, reverse, or recover transactions on your behalf.
You are solely responsible for safeguarding access to your wallet. If you lose access to your authentication credentials or device and no recovery method is available, your funds may become permanently inaccessible.
5. Blockchain Transactions
- All transactions submitted through the Service are processed on public blockchain networks and are irreversible once confirmed.
- You are responsible for verifying all transaction details (recipient address, amount, network fees) before confirming a transaction.
- We are not responsible for any loss resulting from incorrect transaction details, network congestion, or blockchain protocol failures.
- Network fees (gas fees) are determined by the blockchain network and are not set or controlled by us.
6. Service Fees
We may charge fees for certain features or transactions within the Service. Any applicable fees will be clearly disclosed to you before you confirm a transaction. We reserve the right to modify our fee structure with prior notice. Network fees charged by the underlying blockchain are separate from and in addition to any Service fees.
7. Prohibited Uses
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Engage in money laundering, terrorist financing, or any other financial crime.
- Transmit or facilitate the transmission of funds derived from illegal activities.
- Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service in any jurisdiction where doing so would be unlawful.
- Circumvent or attempt to circumvent any security measures implemented by us.
8. Third-Party Services
The Service may integrate with or provide access to third-party services, including OIDC authentication providers, blockchain networks, decentralized applications, and payment processing services. We do not control, endorse, or assume responsibility for any third-party services. Your use of such services is subject to their respective terms and policies.
9. Intellectual Property
All content, trademarks, logos, software, and other intellectual property associated with the Service are owned by or licensed to Bay Bridge Inc. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free.
- The results obtained from using the Service will be accurate or reliable.
- Any defects in the Service will be corrected.
- The value of any digital asset will remain stable or increase.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAY BRIDGE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, DIGITAL ASSETS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN FEES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
12. Indemnification
You agree to indemnify, defend, and hold harmless Bay Bridge Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law or rights of a third party.
13. Risk Acknowledgment
By using the Service, you acknowledge and accept the following risks:
- Cryptocurrency markets are highly volatile. The value of digital assets can fluctuate significantly and may result in substantial losses.
- Blockchain technology and smart contracts may contain vulnerabilities or bugs that could result in loss of funds.
- Regulatory changes in any jurisdiction may adversely affect the use, transfer, or value of digital assets.
- Loss of access to your authentication credentials or device may result in permanent loss of your digital assets.
- Transactions on public blockchains are irreversible and cannot be undone.
14. Suspension and Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to violation of these Terms or applicable law. Upon termination, your right to use the Service will cease immediately. As the Service is non-custodial, you will retain access to your digital assets on the blockchain through alternative means, provided you have the necessary key material.
15. Changes to These Terms
We may modify these Terms at any time by posting the revised Terms on this page with an updated effective date. We will make reasonable efforts to notify you of material changes. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Tokyo, Japan.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bay Bridge Inc. regarding your use of the Service and supersede all prior agreements and understandings.
